ARTICLE 1: Orders - Sales
All orders are subject to these conditions of sale, to which the customer is deemed to assent on placing an order. These conditions of sale shall prevail over any other terms and conditions including any conditions of purchase of the customer.
No order shall be binding on our company until acknowledged in writing by our company.
ARTICLE 2: Delivery
Delivery time is given as accurately as possible, but not guaranteed, and subject to availability of products and transport. We are entitled to make partial deliveries if part of the ordered goods is temporarily unavailable.
Any delay in meeting delivery deadline cannot establish a justifiable and acceptable cause for action for damages of any kind. However, the sale can be cancelled at the request of one or both parts.
ARTICLE 3: Price
Each price is the price in force at the date and time of your order, after deduction of discounts (if any).
The buyer will be liable to pay the freight costs. The freight costs vary depending on the product and/or the quantity.
ARTICLE 4: Modification
Our site contains a large number of products and it is always possible that, despite our best efforts, some of the products listed on our site may be incorrectly priced. We will normally verify prices as part of our dispatch procedures so that, where a product's correct price is less than our stated price, we will charge the lower amount when dispatching the product to you. If a product's correct price is higher than the price stated on our site, we will normally, at our discretion, either contact you for instructions before dispatching the product, or reject your order and notify you of such rejection.
ARTICLE 5: Payment terms - Late payment or Missed payments
Payment terms comply with the commercial practices of our profession. Whatever the method of payment, this one is deposited in a Lyon bank account, sole place of jurisdiction.
Terms are cash upon order, except where open account credit is established - in which case terms of payment are net thirty (30) days from the date of invoice.
In case of deterioration of the buyer's financial situation, our company reserves the right at any time to demand full or partial payment before proceeding or proceeding further with any order. Should the customer reject this alternative our company may cancel any outstanding orders or part orders.
Should the customer default in payment at any time our company may without prejudice to its other rights delay delivery and/or cancel any outstanding orders or part orders or ask for the return of delivered products. Any partial payment shall be attributed firstly to the non-preferential part of the debt, and then to the sums that have been outstanding for the longest.
Overdue payments shall be subject to finance charges computed at a periodic rate (to the extent permitted by law) of 1.5% per month.
If the supplier is obliged to take legal action to recover payment for overdue invoices, the customer will be liable to pay the supplier's reasonable legal costs for recovery of the sums due (15% of the sums due).
We offer you a 0.5 % discount for early payment. The discount will be calculated each month from the payment date and based on the sum, exclusive of VAT.
ARTICLE 6: Transfer of risks
Our goods are transported at the buyer's own risk, whatever their cost or the mode of transport used, even in case of free delivery.
ARTICLE 7: Reservation of title
Ownership of the products will only pass to you when we receive full payment of all sums due in respect of the products, including delivery charges.
ARTICLE 8: Law and jurisdiction
Contracts for the purchase of products through our site will be governed by French law. Any dispute arising from, or related to, this contract shall be subject to the jurisdiction of the Commercial Court of Lyon.
